Project Waste Not operates the Open Food & Beverage Commerce Network (“OFBCN”) and provides other products and services. Access to and use of OFBCN is governed by the applicable OFBCN terms and other agreements between Project Waste Not and the applicable business or user.
Nothing in these Website Terms modifies any master services agreement, statement of work, order form, service order, letter agreement, OFBCN terms, or other agreement between Project Waste Not and another party.
If there is a conflict between these Website Terms and a separate written agreement with Project Waste Not concerning OFBCN or another PWN product or service, the separate agreement governs with respect to its subject matter.
2. INFORMATIONAL PURPOSE
The Website provides information about Project Waste Not, OFBCN, our products and services, and related business topics.
Website content is provided for general informational and marketing purposes. Information on the Website does not constitute an offer, commitment, representation that particular functionality will be provided, or an agreement to provide products or services.

Nothing on the Website grants a license or right to use any trademark, logo or other proprietary material of Project Waste Not or a third party without the applicable owner’s permission.

PROJECT WASTE NOT DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE OR FREE OF HARMFUL COMPONENTS, OR THAT WEBSITE CONTENT WILL BE COMPLETE, ACCURATE OR CURRENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROJECT WASTE NOT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE WEBSITE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROJECT WASTE NOT’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE WEBSITE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
Nothing in these Website Terms excludes or limits liability to the extent it cannot lawfully be excluded or limited.

14. GOVERNING LAW AND VENUE
These Website Terms and any dispute arising out of or relating to the Website will be governed by the laws of the State of California and the United States, without regard to conflict-of-laws principles.
To the extent a dispute relating solely to the Website or these Website Terms is properly brought in court, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in San Francisco, California.
These Website Terms do not alter any dispute-resolution provision contained in a separate agreement with Project Waste Not.
15. SEVERABILITY
If any provision of these Website Terms is determined to be unlawful, invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.
16. NO WAIVER
A failure by Project Waste Not to enforce any provision of these Website Terms does not waive our right to enforce that provision or any other provision later.
